Eligibility. The Contest (the “Contest”) is open only to social media users who follow “Flo Period Tracking App” on Instagram, Facebook or Twitter and who are aged 18 and up as of the date of participation.
The Contest is void, if prohibited by law, in particular jurisdictions. Employees of Flo Health, Inc. (the “Flo Health”) its respective affiliates, subsidiaries, advertising and promotion agencies, suppliers and their immediate family members and/or those living in the same household of each are not eligible to participate in the Contest. The Contest is subject to all applicable federal, state and local laws and regulations.
Agreement to Rules. By participating, you agree to be fully unconditionally bound by these Rules, and you represent and warrant that you meet the eligibility requirements set forth herein. In addition, you agree to accept the decisions of Flo Health as final and binding as it relates to the content. The Contest is subject to all applicable federal, state and local laws.
Contest Period. Submissions will be accepted online starting on or about July 26, 2019 and ending August 1, 2019. All submissions must be received by August 2, 2019 12:00 PM EST.
How to Participate:
For Instagram users:
1) Follow Flo on Instagram;
2) Share the special Contest post with your friends in Stories;
3) Leave a comment on any health topic you’d like to see in Flo Courses and explain why.
For Facebook users:
1) Follow Flo on Facebook;
2) Share the special Contest post with your friends;
3) Leave a comment on any health topic you’d like to see in Flo Courses and explain why.
For Twitter users:
1) Follow Flo on Twitter;
2) Share the special Contest post with your friends;
3) Leave a comment on any health topic you’d like to see in Flo Courses and explain why
Submissions that are not complete or do not adhere to the rules or specifications of the Contest may be disqualified at the sole discretion of Flo Health, Inc. You may make any number of submissions conforming to the requirements set above. If you use fraudulent methods or otherwise attempt to circumvent the rules, your submission may be may be deemed ineligible at the sole discretion of Flo Health, Inc.
You shall not make any submission that violates a third party's copyrights, trademark rights, data protection and privacy laws, breaches any duty of confidentiality or otherwise violates any applicable international, federal, or state law.
Prizes. The Winner(s) for each of the social networks will receive:
- One 90-days Premium Subscription to Flo Period Tracking App (approximate value 30 USD)
The maximum number of winners per social network is 5.
No cash or other prize substitution permitted except at Flo Health's discretion. The prize is non-transferable. Any and all prize related expenses, including without limitation any and all federal, state, and/or local taxes shall be the sole responsibility of the winner. No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by winners is permitted. Acceptance of the prize constitutes permission for Flo Health, Inc. to use winner's name, likeness, and submission (including submitted idea and concept) for purposes of advertising and trade without further compensation, unless prohibited by law.
Odds. The odds of winning depend on the quality of submission. Flo Health will choose the most interesting suggestion of the new topic for Flo’s Courses, which is logically grounded to suit Flo Health’s vision and strategy.
Winner selection and notification. Winners of the Contest will be selected by Flo Health. Winners will be notified by Flo Health in a public post on each of the social media platforms (Instagram, Facebook, Twitter) on August 2, 2019. You are solely responsible for checking the selection results and claiming your prize within 30 days from the publication of selection results. Flo Health may also contact the winners directly via direct messaging if such feature is available (e.g. the winner’s account is not closed).
Flo Health shall have no liability for a winner's failure to check such notice. If the selected winner cannot be contacted, is ineligible, fails to claim the prize within 30 days from the time award notification was sent, the prize may be forfeited and an alternate winner selected.
The receipt by the winner of the prize offered in this Contest is conditioned upon compliance with any and all federal and state laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY WINNER (AT FLO HEALTH'S SOLE DISCRETION) WILL RESULT IN SUCH WINNER'S DISQUALIFICATION AS WINNER OF THE CONTEST AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.
Rights Granted by you. By entering this Contest you understand that Flo Health, anyone acting on behalf of Flo Health, or its respective licensees, successors and assigns will have the right, where permitted by law, without any further notice, review or consent to print, publish, broadcast, distribute, and use, worldwide in any media now known or hereafter in perpetuity and throughout the world, your submission, including, without limitation, the submission itself and winner's name, portrait, picture, voice, submitted idea, likeness, image or statements about the Contest, and biographical information as news, publicity or information and for trade, advertising, public relations and promotional purposes without any further compensation.
Alteration and Termination Right. Flo Health reserves the right, at its sole discretion to cancel, terminate, modify, or suspend the Contest for any reasons at any time. In such case, Flo Health may select the recipients from all eligible submissions received prior to and/or after (if appropriate) the action taken by Flo Health. Flo Health reserves the right at its sole discretion to disqualify any individual who violates these Terms & Conditions.
Limitation of Liability. By participating you agree to release and indemnify Flo Health and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assignees, employees, officers and directors from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) such entrant's participation in the Contest and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof, (ii) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (iii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iv) unauthorized human intervention in any part of the submission process or the Contest; (v) electronic or human error which may occur in the administration of the Contest or the processing of submissions; (vi) violations of any applicable IP and data protection laws in your submission as well as breach of confidentiality.
Disputes: THIS CONTEST IS GOVERNED BY THE LAWS OF CALIFORNIA WITHOUT RESPECT TO ITS CONFLICT OF LAW PROVISIONS. As a condition of participating in this Contest, participant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Contest, shall be resolved individually, without resort to any form of class action, exclusively before an arbitration in San Francisco, California, by the Judicial Arbitration & Mediation Services, Inc. (the "JAMS"). Such arbitration will be conducted in accordance with the then-existing arbitration rules of JAMS, with the cost of such arbitration to be borne equally by the parties. The parties to this Agreement, and all who claim thereunder, will be (i) conclusively bound by the arbitrator's decision or award, which will not be subject to appeal; and (ii) have the right to have any decision or award rendered in accordance with this provision entered as a judgment in a court in the State of Delaware or any other court having jurisdiction. The arbitrator will have the authority to award or grant legal, equitable, and declaratory relief. The parties hereby waive any rights they may have to trial by jury. The Federal Arbitration Act will govern the interpretation and enforcement of this Section pertaining to arbitration, unless it is found inapplicable in which case the Delaware Arbitration Act will control.
